These Lease Terms and Conditions (“Terms”) govern the lease of a website, business software, or both (the “System”) from RunKeepAI (“we,” “us,” “our”) to a business client (“you”). They apply alongside the lease agreement you sign. Where the two differ, your signed agreement controls. An online authorisation or e-signature is a signed agreement — see Section 20.
1. What You Are Leasing
You lease the System we build for you — the design, the code, the hosting, and any business software included in your agreement. You are leasing the right to use it for as long as your lease is current. You are not purchasing the underlying design or source code, and no ownership of it transfers to you.
2. Your Domain Name Is Yours
If we register a domain on your behalf, we do so as a courtesy and at cost. The domain belongs to you. You may request transfer of that domain to a registrar of your choosing at any time, including during an active lease and after it ends, and we will not withhold it, mark it up, or use it as leverage. We lease you the System; we never hold your name.
3. Term, Renewal, and Notice
Leases run for a minimum initial term of twelve (12) months unless your agreement states otherwise, and continue month to month after that. Either party may end a month-to-month lease with thirty (30) days’ written notice. Ending a lease inside the initial term does not waive the remaining balance of that term.
4. Fees
Your lease fee, billing date, and what it includes are set in your signed agreement. Pricing is quoted per business — we price the job, not a tier. Fees already paid for a period that has begun are non-refundable. We may adjust pricing for a renewal term with at least thirty (30) days’ written notice before that term begins; your current term is never repriced mid-term.
5. What We Provide
For the life of the lease we provide hosting, maintenance, security updates, monitoring, and ordinary content updates as described in your agreement. Substantial new features, added pages, or new software modules are separate work and are quoted before anything is built. Nothing is added to your bill without your written approval.
6. Your Content and Your Data
Everything you supply — text, photographs, logos, video, customer records, job records, and any other business data — remains yours. We claim no ownership of it. You may export your business data at any time, during the lease or on its termination, in a standard portable format at no charge. You confirm that you hold the rights to any material you supply to us.
7. Intellectual Property
The System — including its design, layout, source code, custom software, animations, 3D assets, and the frameworks and components we reuse across clients — is the property of RunKeepAI and is protected by applicable intellectual-property law. For the term of your lease you receive a non-exclusive, non-transferable licence to use it for your own business. You may not copy, resell, sublicense, redistribute, reverse-engineer, or hand the System or its code to another provider to reproduce.
Your trademarks, trade name, and logo remain entirely yours. You grant us a limited licence to display them for the purpose of operating your System and, unless you tell us otherwise in writing, to name you and show your System in our portfolio.
8. When the Lease Ends
When a lease ends, your licence to use the System ends with it, and we may take the System offline. Before that happens you keep the right to your domain (Section 2) and to a full export of your business data (Section 6). We will hold your data for thirty (30) days after termination so you can retrieve it, after which it may be deleted permanently.
9. Acceptable Use
You agree to use the System lawfully. You may not use it to send unsolicited bulk messages, to publish unlawful or infringing material, to store payment card numbers or other sensitive data outside the facilities we provide for it, or to attempt to gain unauthorised access to any part of our infrastructure. You are responsible for the confidentiality of your login credentials and for activity that occurs under your account.
10. Availability and Support
We work to keep your System available and to respond to problems promptly, but we do not guarantee uninterrupted or error-free operation. Outages caused by upstream providers, third-party services, domain or DNS problems outside our control, or events beyond our reasonable control are not a breach of these Terms. Where an interruption is ours and material, we credit the affected days.
11. Third-Party Services
Your System may connect to services operated by others — payment processing, email delivery, mapping, calendars, accounting exports, AI providers. Those services are governed by their own terms and pricing, and we are not responsible for their acts, outages, or changes. If one of them changes materially, we will tell you and set out the options.
12. Warranties
Except as expressly stated in your signed agreement, the System is provided on an “as is” and “as available” basis, and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant any particular search ranking, traffic level, lead volume, or business result.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above do not apply to you and any implied warranty is limited to the shortest period the law allows.
13. Limitation of Liability
To the fullest extent permitted by law, RunKeepAI is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or connected to the System — even if we were advised such damages were possible. Our total aggregate liability for any claim is limited to the lease fees you paid us in the twelve (12) months before the claim arose.
What this section does not do. Nothing here limits or excludes liability for gross negligence, wilful or intentional misconduct, fraud or fraudulent misrepresentation, death or personal injury, or for anything else that cannot lawfully be limited or excluded. New Jersey law does not permit a party to disclaim liability for intentional wrongdoing, and this policy does not attempt to. Nothing here waives any right you have that cannot be waived, and nothing here limits any remedy available to you under applicable consumer-protection law.
14. Indemnification
You agree to indemnify and hold harmless RunKeepAI and its personnel from claims, damages, losses, liabilities, and reasonable legal fees arising out of material you supplied to us, your use of the System, or your breach of these Terms.
15. Suspension and Termination
We may suspend or terminate a lease for non-payment, for a material breach of these Terms that is not cured within fifteen (15) days of written notice, or where continued operation would be unlawful. Suspension for non-payment does not forfeit your rights under Sections 2 and 6.
16. Confidentiality
Each party will protect the other’s non-public business information and use it only to perform under the lease. This does not cover information that is public, already known, or independently developed, or disclosure required by law.
17. Changes to These Terms
We may update these Terms. Material changes take effect for you at the start of your next renewal term, and we will give you at least thirty (30) days’ written notice. Changes never apply retroactively to a term already underway.
18. Governing Law
These Terms are governed by and construed under the laws of the State of New Jersey, United States, without regard to its conflict-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in New Jersey for any dispute arising out of these Terms or the lease.
19. Entire Agreement and Severability
Your signed lease agreement together with these Terms is the entire agreement between us on this subject and supersedes prior discussions. If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
20. What “In Writing” and “Signed” Mean
Electronic counts. Wherever these Terms say written, in writing, signed, or agreement, that includes an electronic record and an electronic signature — an online authorisation, a checkbox or button you click to accept, an e-signed document, or an email confirmation from either of us. It does not require paper or ink.
Under the New Jersey Uniform Electronic Transactions Act (N.J.S.A. 12A:12-1 et seq.) and the federal E-SIGN Act (15 U.S.C. §7001), a record or signature may not be denied legal effect simply because it is electronic. Both of us agree to do business electronically. You may withdraw that agreement at any time by telling us, and we will send documents another way.
Not Legal Advice
These Terms are written in plain language and are not attorney-drafted. They describe how we do business. They are not legal advice to you, and you are free to have your own counsel review them before signing anything.
